Our services include, but are not limited to, AI Chat Bot, Character AI chat, Create AI character, and an AI image generator.

If you use the Services on behalf of a company or other entity then "you" includes you and that entity, and you represent and warrant that (a) you are an authorized representative of the entity with the authority to bind the entity to these Terms, and (b) you agree to these Terms on the entity's behalf.

1. Use of the Services

Your Registration Obligations

You may need to go through a registration process to access and use certain functions. Registration data and other information about you are protected by our Privacy Policy. If you are under 13 years old or if you are an EU citizen or resident under 16 years old, you are not authorized to register to use the Services.

Geographic Restrictions (Prohibited Jurisdictions)

The Services are intended for a global audience, but are subject to strict regulatory restrictions. The Services are strictly not available for use by individuals located in, or who are residents of, Mainland China and the Hong Kong Special Administrative Region (Hong Kong). You agree not to use or access the Services if you are located in or a resident of these restricted jurisdictions. Yollo AI reserves the right to implement technical measures (such as IP blocking) to restrict access from these regions and to immediately terminate any accounts found to be in violation of this clause without notice.

Member Account, Password and Security

You are responsible for maintaining the confidentiality of your password and account, if any, and are fully responsible for any and all activities that occur under your password or account. You agree to (a) immediately notify Yollo AI of any unauthorized use of your password or account or any other breach of security, and (b) ensure that you exit from your account at the end of each session when accessing the Services. Yollo AI will not be liable for any loss or damage arising from your failure to comply with this paragraph.

Modifications to Services

Yollo AI reserves the right to modify or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that Yollo AI will not be liable to you or to any third party for any modification, suspension or discontinuance of the Services.

General Practices Regarding Use and Storage

You acknowledge that Yollo AI may establish general practices and limits concerning use of the Services, including without limitation the maximum period of time that data or other content will be retained by the Services and the maximum storage space that will be allotted on Yollo AI's servers on your behalf. You agree that Yollo AI has no responsibility or liability for the deletion or failure to store any data or other content maintained or uploaded to the Services.

2. User Conduct, Compliance, and "Do No Harm" Policies

Strict Compliance and "Do No Harm" Principle

You agree to use the Services only for lawful, ethical, and safe purposes. You explicitly agree that your use of the Services will not harm, exploit, or maliciously target any individual, group, or entity. You must ensure that your usage complies with all applicable local, state, national, and international laws and regulations.

Prohibition of Inappropriate Content Dissemination

Users explicitly agree not to disseminate any form of inappropriate conversation content initiated by the platform's AI, including but not limited to child pornography, violence, or other illegal content, outside of the platform. Users must recognize the sensitivity and illegality of such content and promise not to share, publish, or disseminate it in any public or private channels.

User Liability and Legal Consequences

Users understand and acknowledge that violating the aforementioned prohibition will cause serious damage to the platform's reputation and legal status. If a user violates this provision and causes Yollo AI to suffer any form of legal liability or economic loss, the platform reserves the right to pursue full legal responsibilities from the user, including but not limited to claiming economic losses and taking other legal actions.

User Supervision and Reporting Obligations

Users have a responsibility to supervise and report any inappropriate conversation content. Upon discovering such content, users should immediately cease the conversation and report it to platform administrators. Users commit to actively cooperate with the platform's management measures to jointly maintain a healthy and safe communication environment.

Unacceptable Content

You strictly agree to NOT use the Services to create, upload, or transmit any content that:

• Causes harm to others: Includes psychological, emotional, or physical harm, bullying, harassment, intimidation, or doxxing (distributing personal/confidential information of others).
• Is illegal or promotes illegal acts: Violates any applicable laws or depicts/promotes illegal activities, hate speech, self-harm, or terrorism.
• Exploits minors: Depicts or promotes child exploitation. Realistic or human-like depictions of minors in inappropriate contexts are strictly prohibited.
• Is offensive or abusive: Is unlawful, harmful, threatening, defamatory, vulgar, obscene, pornographic, libelous, or hateful.
• Infringes rights: Infringes any intellectual property, privacy, or other proprietary rights of any party.
• Is deceptive: Involves impersonation, deepfakes intended to deceive or harm, or deceptive practices.
• Is malicious: Contains software viruses or any other malicious computer code, or creates a security risk to any person.
• Is spam: Constitutes unsolicited or unauthorized advertising or commercial activities.

Yollo AI reserves the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including removing the offending content, immediately terminating the account, and reporting them to law enforcement authorities.

3. Fees, Payment, and Subscription

Fees

You may be required to pay fees to access or use the Services or certain features. You are responsible for paying any applicable fees listed on the Services. Except as expressly provided in these Terms, all fees are non-refundable. Fees may be recurring or based on usage, and you agree that we may charge such fees periodically to your chosen Payment Method.

Subscription

Yollo AI may offer various subscription programs, including a free-of-charge program ("Free Use") and one or more subscription-fee based programs ("Paid Subscriptions").

• Free Use: We reserve the right to deny or modify the terms of the "Free Use" program to anyone at our sole discretion.
• Paid Subscriptions: Paid subscriptions may be billed on a monthly or annual basis. You will only have access to a paid subscription while it is active. Failure to pay your subscription fee will result in an automatic downgrade to "Free Use".
• Cancellation: You must cancel your subscription before it renews to avoid being billed for the next period. You can modify or cancel your subscription only through the payment partners where you originally acquired it. Refunds are not provided for partial subscription periods.

4. Intellectual Property Rights

User Content

With respect to the content or other materials you upload to or create using the Services (collectively, "User Content"), including any AI characters, you represent and warrant that you own all rights, titles, and interests in such User Content. By creating or uploading any User Content, you retain your rights and hereby grant Yollo AI a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, distribute, store, modify, and otherwise use your User Content for any Yollo AI-related purpose.

Content Public Visibility

Our service allows you to generate videos, images, or other creative content (“Generated Content”) based on the materials you upload or submit (collectively, “User Submissions”). You may choose to make your Generated Content public. When you set your Generated Content to public, you grant us and our affiliated companies a perpetual, non-exclusive, transferable, sublicensable, free, royalty-free, irrevocable, worldwide license to use, display, download, modify, distribute, and create derivative works from your content. This license applies to all current and future online media and channels, including:

• Improving, optimizing, or training artificial intelligence models;
• Promoting, distributing, or displaying all or part of the services and their derivative works;
• Creating derivative assets or works based on your instructions or Generated Content.

Characters and Generations

For any automated AI character ('Character') that you create, you own the rights in that Character and any text, images, or video it generates ('Generations') that are elicited by you. You grant to Yollo AI and to any Yollo AI user who elicits Generations from your Character a nonexclusive, worldwide, royalty-free, fully paid up, transferable, sublicensable, perpetual, irrevocable license to copy, display, and otherwise use the Character you created and any related Generations for any purpose. By choosing to list a Character on the platform, you agree to share the copyright of that Character with Yollo AI.

Platform Rights

You acknowledge and agree that the Services may contain content or features ("Site Content") protected by copyright, patent, trademark, or other proprietary rights. Any use of the Services or Site Content other than as specifically authorized herein is strictly prohibited. The Yollo AI name and logos are trademarks of Yollo AI. Nothing in these Terms or the Services should be construed as granting any license or right to use any Yollo AI trademarks without our prior written permission.

Copyright Complaints

Yollo AI respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact us at [email protected] with a detailed description of the alleged infringement.

5. Limitation of Liability and Dispute Resolution

Limitation of Liability

You expressly understand and agree that Yollo AI will not be liable for any indirect, incidental, special, consequential, or exemplary damages. In no event will Yollo AI's total liability to you for all damages, losses, or causes of action exceed one hundred dollars ($100).

Dispute Resolution by Binding Arbitration

This section affects your legal rights. You agree that any and all disputes or claims that have arisen or may arise between you and Yollo AI shall be resolved exclusively through final and binding arbitration, rather than in a court. You and Yollo AI agree that each of us may bring claims against the other only on an individual basis and not as a plaintiff or class member in any purported class or representative action.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Hong Kong, without regard to its conflict of law principles. All disputes under this Policy shall be finally settled by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) in accordance with its rules, and the seat of arbitration shall be Hong Kong.

6. General Provisions

Termination

You agree that Yollo AI, in its sole discretion, may suspend or terminate your account or use of the Services for any reason, including if we believe you have violated these Terms. Any suspected fraudulent, abusive, or illegal activity may be grounds for immediately terminating your use of Services and may be referred to appropriate law enforcement authorities.

Entire Agreement

These Terms constitute the entire agreement between you and Yollo AI and govern your use of our Services, superseding any prior agreements.

Changes to these Terms

We reserve the right, at our sole discretion, to change or modify portions of these Terms at any time. We will post the changes on this page and will indicate the date these terms were last revised. Your continued use of the Services after any such changes become effective constitutes your acceptance of the new Terms.
